General Terms and Conditions for international placements, globalization consultancy, and services

1. Introduction 1.1 These General Terms and Conditions (T&Cs) apply to all services provided by Swiss Global WLL ("Provider") to its clients ("Client") concerning the placement of employees and international employees in companies located in the Middle East. 1.2 Acceptance of these T&Cs is required for the utilization of any services provided by the Provider.

2. Scope of Services 2.1 The Provider specializes in sourcing, recruiting, and placing suitable candidates in various industries across the Middle East. 2.2 Services include candidate vetting, interview arrangement, relocation assistance, and integration support for international employees.

3. Fees and Payment 3.1 Fees for the recruitment services will be as agreed upon in the service agreement specific to each Client. 3.2 All fees are due within 30 days of invoicing, and any late payments may incur additional charges.

4. Client Obligations 4.1 The Client agrees to provide all necessary information and support to facilitate the recruitment process. 4.2 The Client is responsible for the final decision-making regarding the employment of candidates.

5. Provider Obligations 5.1 The Provider commits to using reasonable care and skill in selecting candidates and managing the recruitment process. 5.2 The Provider ensures compliance with all applicable employment and immigration laws in the recruitment of international employees.

6. Warranties and Disclaimers 6.1 The Provider warrants that all services will be provided with professional diligence and integrity. 6.2 No guarantees are provided concerning the successful placement of a candidate or the candidate’s performance post-placement.

7. Liability 7.1 The Provider's liability for services rendered to the Client shall be limited to the amount of fees paid by the Client. 7.2 Neither party shall be liable for indirect or consequential losses.

8. Confidentiality 8.1 Both parties agree to maintain confidentiality concerning any proprietary information exchanged during the recruitment process. 8.2 This confidentiality obligation survives the termination of any service agreement.

9. Termination 9.1 Either party may terminate the service agreement with written notice if the other party breaches these T&Cs and fails to correct the breach within a reasonable period. 9.2 Termination does not affect accrued rights and obligations up to the date of termination.

10. Legal Compliance 10.1 Both parties commit to complying with all relevant laws and regulations in the execution of their responsibilities under these T&Cs. 10.2 The Provider will handle personal data in accordance with applicable data protection laws, including GDPR.

11. Jurisdiction and Dispute Resolution 11.1 These T&Cs shall be governed by and construed in accordance with the laws of Germany. 11.2 Disputes arising from these T&Cs will be subject to the exclusive jurisdiction of the courts of Hanover.

12. Miscellaneous 12.1 Any amendments to these T&Cs must be made in writing and signed by authorized representatives of both parties. 12.2 If any part of these T&Cs is found to be void or unenforceable, it will not affect the validity of the remainder of these terms.

General Terms and Conditions for Interviews, Recruiting, and Administrative Services

1. Introduction

1.1 These General Terms and Conditions ("AGB") govern the relationship between Swiss Global WLL ("Provider") and the Client with regard to the services offered by the Provider, specifically related to interview scheduling, recruiting, and administrative support services ("Services"). By using the Services, the Client agrees to be bound by these terms and conditions.

1.2 The Client acknowledges that these terms may be amended, supplemented, or otherwise modified by the Provider from time to time. Any such amendments will become binding upon the Client upon acceptance.

2. Scope of Services

2.1 The Provider offers various services related to recruiting, interviews, and administrative assistance, aimed at facilitating the recruitment process for the Client. These services may include, but are not limited to, candidate sourcing, resume screening, interview coordination, background checks, and administrative assistance in the hiring process.

2.2 The specifics of the Services to be provided, including timelines and deliverables, will be agreed upon between the Client and Provider in writing before the commencement of services.

2.3 The Client understands that the Services are provided on a non-exclusive basis, and the Provider reserves the right to provide similar or identical services to other Clients.

2.4 The Client is solely responsible for the final decision regarding the hiring of any candidate introduced by the Provider. The Provider is not responsible for any employment-related decisions made by the Client.

2.5 Customers have a 14-day right of withdrawal from the date of purchase.

2.6 As part of the service, a professionally formatted CV, tailored to industry standards, is included in the purchase. This CV is designed to enhance presentation and impact. It may be delivered within up to 3 months after purchase.

3. Payment and Service Fees

3.1 The Client agrees to pay the Provider a service fee for the services rendered. The specific fee amount will be determined based on the scope of services provided and will be outlined in the agreement between the Client and the Provider.

3.2 The service fee is due upon receipt of the invoice and is non-refundable, except as provided in Section 6 below.

3.3 Any additional costs incurred by the Provider in the course of providing the Services, including but not limited to travel expenses, may be passed on to the Client. These costs will be agreed upon in advance.

4. No Guarantee or Obligation

4.1 The Provider offers services at its sole discretion but does not guarantee or commit to an interview taking place or a candidate being hired.

4.2 The Client explicitly acknowledges that the Provider has no obligation to ensure a successful placement or to provide any service beyond what is explicitly described in the agreement for the offered services.

4.3 The Client acknowledges that the Provider is not obligated to verify the existence, status, or intentions of potential employers or candidates. The Provider is explicitly recognized as being free of any liability or responsibility for misrepresentations, misunderstandings, or misinterpretations related to the recruitment process.

4.4 Refunds of service fees paid are not possible under any circumstances. The Client bears the full economic risk of utilizing the service.

4.5 The Provider is under no circumstances liable for false communications, lost opportunities, financial losses, reputational damages, or any other direct or indirect damages incurred by the Client.

4.6 The Client agrees to indemnify the Provider from any third-party claims arising from the use of the offered services.

5. Client’s Responsibilities

5.1 The Client agrees to provide the Provider with accurate, complete, and up-to-date information regarding their recruitment needs, job descriptions, candidate requirements, and other necessary details to enable the Provider to perform the Services effectively.

5.2 The Client acknowledges that it is their responsibility to evaluate the candidates presented by the Provider and to make any final decisions regarding the hiring process.

5.3 The Client agrees to cooperate with the Provider in a timely manner and provide necessary feedback or decisions within the agreed-upon timelines.

6. Exclusion of Legal Claims

6.1 The Client explicitly waives all legal claims against the Provider arising from the use or non-use of the offered Services.

6.2 The Client acknowledges that the Provider is not liable for any damages resulting from delays in the recruitment process, failure to find a suitable candidate, or any other failure in the recruitment process.

6.3 If any clause of these General Terms and Conditions is deemed invalid or unenforceable, the remaining clauses shall remain in full force and effect. The invalid clause will be replaced by an appropriate clause that most closely reflects the Provider’s economic interest.

7. Confidentiality and Data Protection

7.1 Both parties agree to keep all confidential information, including personal data, financial details, and recruitment strategies, confidential and not disclose it to any third party without prior written consent, except where disclosure is required by law.

7.2 The Client acknowledges that personal data collected during the recruitment process will be processed in accordance with applicable data protection laws, including the General Data Protection Regulation (GDPR).

7.3 The Provider will ensure that all personal data is stored securely and only used for the purposes of the recruitment process.

7.4 Confidentiality Obligation: The customer agrees to maintain strict confidentiality regarding all aspects of the services provided, interactions with the provider and everything beyond that includes the provider. This obligation includes, but is not limited to, the non-disclosure of any information about the service performance, customer experience, and any communications between the customer and the provider.

7.5Prohibition of Public Reviews: The customer is expressly prohibited from publishing, posting, or otherwise making available any reviews, comments, or opinions about the provider and his services in any public forum or platform, including but not limited to social media, blogs, and third-party review sites. This applies to both positive and negative comments.

7.6 Exception for Approved Reviews: Public reviews may only be posted on the online platform "Cylex" and only if an exception is explicitly granted by the provider. Such an exception must be documented in writing by the provider and provided to the customer before any review is considered legally recognized and compliant with this agreement.

7.7 Enforcement: Violation of these confidentiality and review restrictions will be considered a breach of contract and may result in immediate termination of services, legal action for damages, and enforcement of any applicable penalties under the law or contractual agreement.

7.8 Acknowledgment: By accepting these terms, the customer acknowledges that they have read, understood, and agreed to be bound by these confidentiality and review restrictions, recognizing the importance of these provisions in protecting the provider's business integrity and customer privacy.

8. Applicable Law and Jurisdiction

8.1 These General Terms and Conditions shall be governed exclusively by the laws of the Federal Republic of Germany.

8.2 The exclusive place of jurisdiction for all disputes arising out of or in connection with this agreement shall be Hanover, Germany, unless otherwise agreed.

9. Final Provisions

9.1 If any provision of these General Terms and Conditions is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

9.2 The Client agrees that no waiver of any term or condition of this agreement shall be deemed a further or continuing waiver of such term or condition.

9.3 The Client agrees that any amendments to this agreement must be made in writing and signed by both parties.
